Terms of Service

1. Agreement
These Terms of Service (“Terms”) govern your access to and use of Helm at gohelm.co (the “Service”). By creating an account, starting a trial, or using Helm, you agree to these Terms and our Privacy Policy.
If you use Helm on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. The Service
Helm is an ecommerce operations tool. You may connect Shopify and Meta Ads on a read-only basis, view dashboards and live activity, and create automations that send messages to Slack or append rows to Google Sheets. Helm does not mutate your Shopify store or Meta ad account (for example, it does not edit products, fulfill orders, or change ad campaigns).
Features, plan limits, and integrations may change as we improve the product. We may modify or discontinue features with reasonable notice when practical.
3. Accounts and workspaces
You must provide accurate account information and keep credentials secure. You are responsible for activity under your account and for workspace members you invite.
Workspace owners and admins control seating, permissions, and connected integrations. You must only invite people who are authorized to access your store and ad data.
4. Acceptable use
You agree not to:
- Use Helm in violation of law or third-party rights
- Attempt to reverse engineer, disrupt, or overload the Service, or bypass plan limits or access controls
- Connect accounts you do not own or lack permission to connect
- Use automations to send spam, unlawful content, or content that violates Slack, Google, Shopify, or Meta policies
- Resell or provide the Service to third parties except as expressly allowed
5. Subscriptions, trial, and billing
New workspaces may receive a 7-day trial with access subject to the then-current trial limits. After the trial, continued paid features require an active subscription (for example Basic or Pro) billed through our payment provider, Paddle.
Prices and limits are shown on our pricing page and at checkout. Fees are charged in advance for the billing period unless stated otherwise. Taxes may apply. You authorize Paddle to charge your payment method for recurring fees until you cancel.
You may cancel through the billing portal or product settings where available. Cancellation typically stops renewal at the end of the current period; access may end when the subscription or trial ends, or sooner if we suspend for non-payment or Terms violations. We do not guarantee refunds except where required by law or stated at purchase.
6. Connected platforms
Shopify, Meta, Slack, Google, and other platforms you connect remain governed by their own terms and policies. You must comply with those terms and only grant Helm the access you are allowed to grant.
Platform outages, API changes, permission revocations, or rate limits may affect Helm features. That includes timing delays — for example, a platform throttle or backoff window may postpone an alert or cause a scheduled digest to run later than usual. We are not responsible for third-party platform availability, rate limiting, or data accuracy.
7. Automations and AI
You own the prompts and configuration you create in Helm. Automations run based on triggers and actions you approve. Outputs (Slack messages, Sheets rows) depend on connected APIs and the data available at run time.
Automation suggestions may use AI. You are responsible for reviewing proposals before enabling them and for the content of messages and exports. Helm does not guarantee that every automation will fire exactly as intended under all store or ad conditions, including when a connected platform is rate-limiting or temporarily unavailable.
8. Intellectual property
Helm, including its software, branding, and documentation, is owned by us or our licensors. You receive a limited, non-exclusive, non-transferable right to use the Service as permitted by these Terms and your plan. You retain ownership of your store data, ad data, and content you submit.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AUTOMATIONS OR DASHBOARDS WILL CATCH EVERY BUSINESS EVENT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELM AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID TO HELM FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM (OR, IF YOU ARE ON A FREE TRIAL ONLY, FIFTY U.S. DOLLARS).
11. Indemnity
You will defend and indemnify Helm against claims arising from your misuse of the Service, your content or automations, or your violation of these Terms or third-party platform rules, except to the extent caused by our willful misconduct.
12. Suspension and termination
You may stop using Helm at any time. We may suspend or terminate access if you breach these Terms, if required by law or a platform partner, or if your subscription or trial ends. Ending access (for example pausing automations when a trial expires) does not by itself mean we delete your workspace data; retention and deletion are described in our Privacy Policy. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) survive termination.
13. Changes to these Terms
We may update these Terms by posting a revised version and updating the “Last updated” date. Material changes may also be communicated in the product or by email. Continued use after the effective date constitutes acceptance.
